These Terms of Service ("Terms") govern your access to and use of Denly (the "Service"), operated by Control Plane and available at https://denly.dev. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Denly is a control plane for orchestrating autonomous coding agents across your software projects. In the current (and default) model, the agents run on your own machine via a local runner you install; the Service coordinates that work and provides a dashboard to review and direct it.
You are responsible for your account, your organization's members, and all activity under them. You must provide accurate information and keep your credentials secure. You must be legally able to enter into these Terms.
You retain all rights to your source code, repositories, prompts, and documents ("Your Content"). You grant us only the limited rights needed to operate the Service for you (e.g. storing the task/plan metadata described above). We claim no ownership of Your Content or of the code the agents generate for you.
The Service coordinates AI agents that generate code and other output. AI output can be incorrect, insecure, or unsuitable. You are responsible for reviewing all output before you merge, deploy, or rely on it. The independent review step and the approval gates are aids, not guarantees.
You agree not to use the Service to violate any law, infringe others' rights, generate malware or abusive content, disrupt the Service, attempt to bypass plan limits or security controls, or resell the Service without authorization.
The Service works alongside services you connect or provide, including your code host (e.g. GitHub, via a scoped app installation), your AI provider (e.g. Anthropic / Claude, used locally with your own credentials), and our hosting and billing providers. Your use of those services is governed by their own terms.
Paid plans are sold through our merchant of record, Polar, which handles checkout, payment, and applicable taxes. Your purchase is also subject to Polar's buyer terms. Subscriptions renew until canceled; you can cancel or manage billing from the dashboard. Except where required by law or stated at checkout, fees are non-refundable. Plan limits (such as machines, concurrent execution, storage and the number of people a plan covers) apply and may change.
Notice for changes that reduce what a plan covers. If we reduce the allowances of a plan you are on, we will give you at least 60 days' notice by email, and the change will not take effect before the end of any paid term you have already bought. Existing paid subscriptions keep the price they were purchased at until their next renewal. When a change leaves you over an allowance, your existing data stays readable and exportable; we do not delete it.
The Service, including its software, design, and trademarks, is owned by us or our licensors. These Terms grant you no rights in them except the limited right to use the Service.
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service or any AI output will be uninterrupted, error-free, secure, or correct.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, data, or goodwill. Our total liability for any claim will not exceed the amounts you paid us for the Service in the 12 months before the claim.
You may stop using the Service and delete your organization at any time. We may suspend or terminate access for violation of these Terms or to comply with law. Sections that by their nature should survive termination will survive.
We may update the Service or these Terms. Material changes will be posted here with an updated effective date; continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws rules.
